Infrastructure and Real Estate
In infrastructure and real estate projects, much depends on how the project is prepared at the outset. We help set up the project's legal structure, prepare the contracts and assess the risks: from rights to land and property to construction and long-term operation.
How we can help
- Project structure: A large project needs a clear legal foundation. We help set up the project structure, including building rights and other rights in real property, and allocate responsibilities and risks among the project participants for the life of the project.
- Contracts and procurement: we prepare contracts for design, construction supervision and construction works, including unified contract systems that can be used across several projects of different scale.
- Real estate transactions: we help acquire real estate or real estate companies. We carry out legal due diligence, structure the transaction and assess the risks related both to the acquisition itself and to the future development of the site.
- Disputes: if disagreements arise during the project, for example over the performance of works or payment, we help assess the situation and defend your interests in negotiations, in court or in arbitration.
Our approach
In each matter we involve the colleagues whose expertise is most useful in the situation. As the work progresses we take your objectives, timelines and budget into account, and we discuss the next steps together. Where needed, we also take part in negotiations and in putting decisions into practice.
In infrastructure projects, the legal solutions are closely tied to the project's technical and financial plan. That is why we work together with the project team and draft the documentation so that it is easy to use in day-to-day work. This practice is led by partner Pēteris Dalderis, who for several years was a partner at leading law firms in the Baltics.
Who we help
We help energy and infrastructure companies, real estate developers and investors, including foreign investors carrying out projects in Latvia. We have helped set up a contract system for energy projects and a legal structure for energy supply infrastructure, and helped acquire a site for a residential development in Riga.
Our experience in this area
2025A unified contract system for energy infrastructure projects
Energy and infrastructure
An energy company required a unified contract system for procurement of design, construction supervision and construction works, which could be used for infrastructure projects of varying scale.
We developed a flexible contractual framework tailored to the client's operations and the specifics of different projects. In creating the system, we balanced legal risk management with the practical implementation of projects so that the documentation would be convenient to use in day-to-day operations.
The client has established a unified contract system that ensures a consistent approach to managing contracts for infrastructure projects. We continue to refine it in line with the requirements of specific projects, identified risks and market conditions.
2025Acquisition of real estate for residential quarter development in Riga
Real estate and construction
A foreign real estate developer wished to acquire a site in order to develop an ambitious residential quarter in Riga. The transaction involved the acquisition of both a real estate company and existing development.
We carried out comprehensive legal due diligence and structured the transaction, balancing corporate and real estate aspects with the client's long-term plans. At the same time, we identified and assessed risks associated both with the acquisition itself and with future development of the site.
The transaction was successfully completed and established the legal basis for implementation of the residential quarter project.
2024Legal structure for a large-scale energy supply infrastructure project
Energy and infrastructure
As part of a large-scale industrial project, energy supply infrastructure had to be constructed and its long-term use ensured. This required a clear legal framework for the use of real estate and regulation of the parties' relationship.
We developed a building-right structure and contractual documentation that secured the rights in real estate required for the project. In structuring the transaction, we clearly allocated the responsibilities and risks of the parties involved, taking into account the entire period of infrastructure use.
The established legal framework ensures both construction of the infrastructure and its long-term operation.
