Disputes, 2026

Forestry and natural resources

Following the sale of a forest portfolio worth several million, the buyer brought substantial financial claims against our client as seller on the basis of the seller's liability stipulated in the sale and purchase agreement. The dispute was heard in court.

We developed and implemented the client's defence strategy, focusing on the scope of the seller's liability stipulated in the sale and purchase agreement and the merits of the claims brought. We represented the client in the proceedings and prepared arguments for dismissal of the claim.

The court of first instance dismissed 85% of the claim brought against the client, substantially reducing the client's potential financial liability.

Defence and security

A manufacturer in the defence sector needed to obtain a specific certificate in order to meet stringent industry regulatory requirements.

We managed the certification process from preparation of the application through to receipt of the certificate: we assessed the applicable requirements, prepared the necessary documentation and coordinated cooperation with the competent authorities.

The client successfully obtained the certificate, thereby establishing a legal basis for its future operations in the defence sector.

Corporate and Commercial Law, 2025

Finance and investment

In a cross-border transaction, we advised a professional investment manager on a USD 5 million investment in a new venture capital fund. The transaction involved legal, regulatory and compliance matters, as well as the establishment of financing, profit-sharing and governance structures.

To identify potential risks in a timely manner, we developed a risk matrix and structured the transaction process in accordance with the project timetable and the client's business interests. During negotiations, we advised the client on transaction documentation and coordinated all related matters. To improve efficiency, we also used legal AI tools, enabling faster risk analysis and assessment of possible solutions.

Following negotiations lasting several months, the documentation was completed and the investment was successfully implemented.

Corporate and Commercial Law, 2025

Entertainment and services

A rapidly growing company in the entertainment sector wished to expand its operations by establishing a franchise model for its active leisure centres.

We developed the legal structure of the franchise system and prepared the franchise agreement and other required documentation. The aim was to create a clear legal basis for the company's growth and cooperation with future franchisees.

The client is already using the developed franchise system in its operations. The company's centres operate in two Latvian cities, and the first franchise agreement has been concluded.

Disputes, 2025

Manufacturing and trade

Several companies in the aviation sector, including parts manufacturers and suppliers, faced commercial disputes concerning unpaid amounts for delivered goods. The disputes involved international supply chains and the performance of contractual obligations between commercial partners.

For each matter, we developed an appropriate dispute-resolution strategy, represented clients in negotiations and litigation, and provided support with debt recovery. In our work, we took account of the specific features of the aviation sector, as well as the fact that disputes frequently involved several jurisdictions and different supply-chain participants.

Successful dispute resolutions were achieved for the client, protecting its commercial interests and promoting performance of contractual obligations.

Private Wealth Structuring, 2025

Real estate and construction

Several private clients pooled their resources to acquire a significant real estate property jointly. The transaction required prompt decision-making and alignment of the interests of several investors.

We provided legal management of the transaction from start to completion. We structured investor cooperation and the decision-making process so that, at critical stages of the transaction, they could act as one coordinated party. We assessed legal and regulatory risks and prepared the necessary documentation.

The clients successfully completed the transaction and acquired the property.

Defence Industry, 2025

Defence and security

A company in the defence sector required a licence to conduct industrial scientific research in a strictly regulated sector.

We managed the licensing process from start to completion: we assessed the applicable regulatory requirements, identified the necessary steps, prepared the licence application and supporting documents, and coordinated the progress of the process.

The client successfully received the licence, obtaining a legal basis for future operations and product development in the defence sector.

Infrastructure, 2025

Energy and infrastructure

An energy company required a unified contract system for procurement of design, construction supervision and construction works, which could be used for infrastructure projects of varying scale.

We developed a flexible contractual framework tailored to the client's operations and the specifics of different projects. In creating the system, we balanced legal risk management with the practical implementation of projects so that the documentation would be convenient to use in day-to-day operations.

The client has established a unified contract system that ensures a consistent approach to managing contracts for infrastructure projects. We continue to refine it in line with the requirements of specific projects, identified risks and market conditions.

Infrastructure, 2025

Real estate and construction

A foreign real estate developer wished to acquire a site in order to develop an ambitious residential quarter in Riga. The transaction involved the acquisition of both a real estate company and existing development.

We carried out comprehensive legal due diligence and structured the transaction, balancing corporate and real estate aspects with the client's long-term plans. At the same time, we identified and assessed risks associated both with the acquisition itself and with future development of the site.

The transaction was successfully completed and established the legal basis for implementation of the residential quarter project.

Disputes, 2024

Real estate and construction

During the implementation of a significant real estate project, a dispute arose between the employer and the main contractor regarding performance of the construction contract. The disagreement concerned design documentation, including technical solutions, as well as payment for completed construction works. Due to deficiencies in the documentation and delayed payments, the main contractor suspended the works and terminated the contract. The dispute was heard by the Stockholm Chamber of Commerce Arbitration Institute (SCC).

We represented the client in the arbitration proceedings and advised on the allocation of liability for design errors, the allocation of contractual risks, suspension of construction works and termination of the contract, as well as unpaid amounts, contractual penalties, default interest and the enforcement of guarantees.

Infrastructure, 2024

Energy and infrastructure

As part of a large-scale industrial project, energy supply infrastructure had to be constructed and its long-term use ensured. This required a clear legal framework for the use of real estate and regulation of the parties' relationship.

We developed a building-right structure and contractual documentation that secured the rights in real estate required for the project. In structuring the transaction, we clearly allocated the responsibilities and risks of the parties involved, taking into account the entire period of infrastructure use.

The established legal framework ensures both construction of the infrastructure and its long-term operation.

Disputes, 2023

Manufacturing and trade

An international trading company supplied goods worth more than USD 1 million to a foreign commercial partner. Following delivery, a payment dispute arose and was heard by the Stockholm Chamber of Commerce Arbitration Institute (SCC).

We represented the client in the arbitration proceedings, substantiating its right to receive payment and to suspend further deliveries due to a fundamental breach of contract. We also assessed issues relating to interest, contractual penalties and joint and several liability. The United Nations Convention on Contracts for the International Sale of Goods (CISG) applied to the dispute.

A favourable outcome was achieved for the client.
